Whereas Party A intends to sell to Party B the sports shoe products manufactured using the machinery and equipment specified under this Contract, for the purpose of repaying the price of Party B's said machinery and equipment.
因此，考虑到本协议所述的前提和承诺，甲乙双方特订立协议如下：
NOW, THEREFORE, in consideration of the premises and covenants described hereinafter, Party A and Party B hereby enter into this Contract as follows:
第一条 贸易内容
ARTICLE 1 TRANSACTIONS
1.1 乙方向甲方提供用于生产运动鞋的________型机械_____台，以及各种其他辅助机械设备，并同时提供各类机械设备所必需的附件、配件及备用件，以及生产过程中各种必需的测试仪器。具体的各类机械设备、测试仪器、附件、配件、备用件之型号、名称、规格、数量、价格、包装、要求、交货期限等，由双方另行签订设备进口合同，作为本合同不可分割的一部分。
1.1 Party B agrees to provide Party A with ________ sets of Model _______ machinery to be used in the production of sports shoes, together with various other auxiliary mechanical equipment, and shall also provide all necessary accessories, spare parts, and various testing and inspection instruments required in the production process. The details of the models, names, specifications, quantities, prices, packaging, requirements, and delivery schedules of the aforesaid mechanical equipment, testing instruments, accessories, and spare parts shall be specified in a separate equipment import contract to be concluded by and between both parties, which shall serve as an integral part hereof.
1.2 甲方用乙方提供的机械设备所生产的部分产品以及其他商品，或经双方协商，用_____工厂生产的______商品来偿付全部机械设备的价款。具体的偿付商品的名称、数量、价格、交货期限等，由双方另行签订补偿商品供货合同，作为本合同不可分割的一部分。设备进口合同与补偿商品供货合同可合并为补偿贸易购销合同。
1.2 The total value of the machinery, auxiliary equipment, and other items supplied by Party B shall be paid off by Party A with part of the products manufactured therewith and/or other goods, or, if both parties so agree, with ________ products manufactured in ________ Plant. The specific names, quantities, prices, and delivery schedules of the goods to be provided as compensation shall be specified in a separate compensation goods supply contract to be concluded by both parties, which shall serve as an integral part hereof. The equipment import contract and the compensation goods supply contract aforesaid may be consolidated into a single compensation trade sales and purchase contract.
第三条 偿付期限
ARTICLE 3 REIMBURSEMENT PERIOD
甲方用_____年_____个月，分月以商品偿付全部机械设备的价款。偿付日期自第一批机械设备到货后约______个月后开始，原则上每月偿付的金额为全部机械设备价款的____分之____。甲方可以提前偿付，但需提前____个月通知乙方。
Party A shall reimburse Party B for the total value of all machinery and auxiliary equipment supplied by Party B by delivering goods to Party B on a monthly basis, and the reimbursement period shall last for _______ year(s) and _______ month(s). The reimbursement shall commence approximately _______ month(s) after the date of delivery of the first shipment of the machinery and equipment, and in principle, the amount to be reimbursed each month shall be _______ percent of the total value of the machinery and equipment. Party A may effect reimbursement in advance, provided that it gives Party B _______ month(s) prior notice thereof.
在甲方以补偿商品偿付机械设备价款期间，乙方应按本协议项下有关补偿商品合同的规定，开出以甲方为受益人的足额、即期、不可撤销、可分割、可转让的信用证。
During the period in which Party A reimburses the value of the machinery and equipment with compensation goods, Party B shall, in accordance with the provisions of the relevant compensation goods contract under this Contract, open sight, irrevocable, divisible, and transferable letters of credit covering the full amount in favor of Party A.
第五条 利息计算
ARTICLE 5 INTEREST
甲方所开的远期信用证及乙方所预付货款的利息应由甲方负担。双方议定年利息为百分之_____。
Party A shall bear the interest on its usance letters of credit and on the advance payment made by Party B. The annual interest rate is agreed at _____%.
第六条 技术服务
ARTICLE 6 TECHNICAL SERVICES
货物到达甲方口岸后，由甲方自行安装，但在主要设备安装过程中，甲方认为需要时，乙方必须派出技术人员进行现场指导，提供必要的技术服务，在此过程中由于技术上的问题，所造成的损失由乙方负责。
为完成此项工作，由乙方派出 ______数量的技术人员。在中国的一切费用均由乙方承担。
After the goods arrive at Party A's port, Party A shall undertake the installation by itself. However, during the installation of the major equipment, Party B shall, when Party A deems it necessary, dispatch technical personnel to provide on-site guidance and necessary technical services. Party B shall be liable for any losses caused by technical problems arising during such process.
To accomplish this task, Party B shall dispatch ____ technical personnel. All expenses incurred in China shall be borne by Party B.
第十一条 合同条款的变更
ARTICLE 11 AMENDMENT
本合同内容如遇特殊情况需要变更，须经双方协商一致。
Any modification of this Agreement under special circumstances shall be agreed upon by both parties through negotiation.
第十二条 不可抗力
ARTICLE 12 FORCE MAJEURE
由于人力不可抗拒的原因，致使一方或双方不能履行合同之有关条款，应及时向对方通报情况，在取得合法机关的有效证明之后，允许延期履行或不履行有关合同义务，并可根据情况部分或全部免除违约责任。
If either or both parties are unable to perform the relevant provisions of this Agreement due to force majeure, the affected party (or parties) shall promptly notify the other party (or each other) of the circumstances. Upon obtaining a valid certificate from the competent authorities, the party (or parties) shall be permitted to delay performance of or be exempted from the relevant obligations under this Agreement and may be partially or fully released from liability for breach of this Agreement depending on the circumstances.
第十三条 仲裁
ARTICLE 13 ARBITRATION
凡因本合同引起的或与本合同有关的任何争议，均应提交中国国际经济贸易仲裁委员会深圳分会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁，仲裁裁决是终局的，对双方均有约束力。仲裁适用中华人民共和国法律。
除非另有规定，仲裁不得影响合同双方继续履行合同所规定的义务。
Any dispute arising from or in connection with this Contract shall be submitted to the China International Economic and Trade Arbitration Commission, Shenzhen Commission, for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties, and the applicable law shall be the substantive law of the People's Republic of China.
Notwithstanding any reference to arbitration, both parties shall continue to perform their respective obligations under the Contract unless otherwise agreed.
第十四条 保密条款
ARTICLE 14 CONFIDENTIALITY
缔约双方在合同有效期间对其从另一方获得的、与另一方活动有关的所有被认为是机密的信息进行保密，不向任何人、商号和公司透露（正确行使本合同规定的责任时除外）。
The parties hereto undertake towards each other to keep confidential, at all times during the term of this Contract, all information acquired by either party in connection with the activities of the other party which may reasonably be regarded as confidential in nature, and (except in the proper performance of their obligations hereunder) not to divulge the same to any person, firm or company.

一、生产线概述 /
I. Production Line Overview
本生产线为运动鞋成套生产设备，涵盖从鞋面裁切、鞋底成型到成品鞋帮底贴合、整理包装的全流程生产工艺。生产线设计年产能为_______双运动鞋，设备配置充分考虑生产效率、产品质量及操作安全性。
This production line is a complete set of equipment for sports shoe manufacturing, covering the entire production process from upper cutting, sole molding to final assembly, finishing and packaging. 四、 安装调试

1. 乙方负责提供详细的设备安装图纸、基础图及操作说明书。
Party B shall provide detailed equipment installation drawings, foundation drawings and operation manuals.
2. 设备由甲方负责自行安装。
The equipment shall be installed by Party A.
3. 在主要设备安装过程中，如甲方认为需要，乙方须派出技术人员进行现场指导，提供必要的技术服务。
During the installation of major equipment, if Party A deems it necessary, Party B shall dispatch technical personnel for on-site guidance and provide necessary technical services.
5.2 技术培训
Technical Training
乙方应为甲方操作人员提供不少于______个工作日的现场技术培训，内容包括设备操作、日常维护、故障排除等。
Party B shall provide no less than ______ working days of on-site technical training for Party A's operators, covering equipment operation, routine maintenance, troubleshooting, etc..
